This User Agreement (hereinafter the "Agreement") is a legal agreement between you and
NEUXMIND (HK) LIMITED (hereinafter "we," "us," or "our") regarding your use of this application. By downloading, installing, or using this app, you agree to be bound by this Agreement.

01Acceptance of Terms
By accessing or using Authenticator App Vault+, you confirm that:
- You are at least 13 years of age (16 years of age in the EU);
- You have full legal capacity to enter into this Agreement;
- You have read, understood, and agreed to the entire contents of this Agreement and our Privacy Policy.
If you are using this app on behalf of an organization or business, you further warrant that you have the authority to accept this Agreement on behalf of that organization.
02Service Description
Authenticator App Vault+ is a two-factor authentication (2FA) application that provides the following services:
- Generating Time-based One-Time Passwords (TOTP) and HMAC-based One-Time Passwords (HOTP)
- Adding 2FA accounts via QR code or manual entry
- Account grouping, searching, and management
- App lock (biometric / PIN code protection)
- Pro+ exclusive: Advanced features such as encrypted cloud backup and multi-device sync, widgets, and Apple Watch support

This app complies with the RFC 6238 (TOTP) and RFC 4226 (HOTP) standards and is compatible with the vast majority of online services that support standard 2FA.
03Account Registration
3.1 Basic Use
The core 2FA features of this app can be used without registering an account, and your data is stored only locally on your device.
3.2 Pro+ Account
If you choose to register an account to use advanced features such as cloud sync, you must provide a valid email address and set a password meeting the following requirements:
- At least 8 characters, including uppercase and lowercase letters, numbers, and special characters
You are responsible for:
- Maintaining the security and confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately upon discovering any unauthorized access

Important: Forgetting the password used for encrypted cloud backup will render the backup data permanently unrecoverable, as we cannot decrypt your end-to-end encrypted data. Please be sure to keep your password safe.
04Subscriptions & Payment
4.1 Free Features vs. Pro+ Subscription
4.2 Subscription Types
- Monthly subscription: Auto-renews monthly
- Annual subscription: Auto-renews annually (typically at a discount)
- Lifetime license: One-time purchase for permanent use of Pro+ features
4.3 Billing Details
- All subscriptions are processed through the Apple App Store and are subject to Apple's Terms of Service.
- Subscriptions auto-renew 24 hours before the end of the current billing period, with the fee charged to the account associated with your Apple ID.
- No separate notice is given before renewal, but you may manage or cancel your subscription at any time through your App Store settings.
- Cancelling a subscription does not immediately terminate the service; you may continue to use it until the end of the current billing period.
4.4 Free Trial
Where a free trial is offered, it will automatically convert to a paid subscription at the end of the trial unless you cancel at least 24 hours before the trial ends.
4.5 Refund Policy
Refund requests must be submitted through the Apple App Store and are subject to Apple's refund policy. We are unable to process refunds directly. In exceptional circumstances, please contact us and we will assist in coordinating.
05License Grant
5.1 Scope of License
We grant you a limited, non-exclusive, non-transferable, revocable personal license to install and use this app on Apple devices that you own or control, solely for personal, non-commercial purposes, subject to this Agreement and the Apple App Store Terms of Service.
5.2 License Restrictions
You may not:
- Copy, modify, distribute, or sell this app;
- Reverse engineer, decompile, or disassemble this app;
- Remove any copyright notice or other proprietary identification from this app;
- Use this app for any illegal or unauthorized purpose;
- Use automated tools (bots, crawlers, etc.) to access this app.
06Code of User Conduct
You agree to:
- Use this app only for legitimate two-factor authentication purposes;
- Not use this app to circumvent any security system or engage in fraudulent activities;
- Not attempt to interfere with the normal operation of this app;
- Provide us with truthful and accurate information;
- Not share your account credentials or allow others to use your account.

Violation of the above code of conduct may result in suspension or termination of your account, with no refund.
07Data & Security Responsibilities
7.1 Your Responsibilities
You are responsible for the following:
- Regularly backing up your 2FA account data (via this app's export function or cloud backup);
- Migrating account data when your device is lost, damaged, or replaced;
- Protecting your device against unauthorized access;
- Ensuring the security of the online service accounts corresponding to the 2FA accounts you add.
7.2 Important Notice

Risk of data loss: If you lose your device or uninstall the app without a backup, your 2FA account data will be unrecoverable. This may lock you out of the associated online accounts, requiring you to regain access through each platform's account recovery process. We strongly recommend regularly using cloud backup or the export function.
08Disclaimer
To the maximum extent permitted by applicable law:
- This app is provided on an "as is" and "as available" basis, without any express or implied warranties.
- We do not warrant that this app will be uninterrupted, error-free, completely secure, or meet all of your specific needs.
- We are not liable for any account lockout, data loss, or security breach resulting from your use of this app, except where directly caused by our gross negligence or willful misconduct.
- This app is not a substitute for your overall account security measures; 2FA is only one part of a security system.
09Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, punitive, or consequential damages you may suffer, including but not limited to loss of profits, loss of data, or damage to goodwill, even if we have been advised of the possibility of such damages.
In any event, our total liability to you shall not exceed the total subscription fees you actually paid to us in the 12 months prior to the claim; if you use the free features, the liability cap is $15.
Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so the above limitations may not apply in those regions.
10Intellectual Property
This app and all of its contents (including but not limited to code, design, icons, and text) are our proprietary property or used under license, and are protected by copyright law, trademark law, and other intellectual property laws.
Your use of this app does not constitute a transfer of any intellectual property rights. You may not use our trademarks, logos, or other identifiers without our written authorization.
If you submit feature suggestions, feedback, or other opinions to us, you grant us a royalty-free, perpetual, worldwide license to use such content, without any compensation or attribution to you.
11Service Changes & Termination
11.1 Service Changes
We reserve the right to modify, suspend, or terminate this app (or any part of it) at any time, including adding or removing features or adjusting prices. Material changes will be announced in advance.
11.2 Termination of Agreement
We have the right to terminate your right to use this app in the following circumstances:
- You violate any term of this Agreement;
- We believe your conduct poses a threat to other users or to this app;
- Required by law or a regulatory authority.
11.3 Your Right to Terminate
You may terminate this Agreement at any time by ceasing to use this app, deleting your account, and uninstalling the app. After your account is deleted, your data will be permanently deleted from our servers within 30 days (local data is unaffected).
12Dispute Resolution
12.1 Informal Negotiation
In the event of a dispute, both parties should first attempt to resolve it through friendly negotiation. Please contact us using the contact information below, and we will respond within 15 business days.
12.2 Arbitration
If negotiation fails to resolve the dispute, both parties agree to submit the dispute to a competent arbitration body for arbitration, and the arbitration result shall be legally binding. Arbitration does not affect your right to seek injunctive relief under applicable law.
12.3 Class Action Waiver
To the extent permitted by applicable law, you agree to bring any claim in your individual capacity rather than on a class or representative basis.
13Governing Law
This Agreement is governed by the relevant applicable law. For EU users, this Agreement does not affect the mandatory rights you enjoy under EU consumer protection law.
If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be replaced by a valid provision that most closely reflects the original intent, and the remaining provisions shall remain in effect.
